Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Europa Foundry (“Europa Foundry,” “we,” “us,” or “our”) governing your access to and use of PO Autopilot, the Europa Foundry website, and related services (collectively, the “Service”).
Europa Foundry is based in Denver, Colorado, United States.
By installing, accessing, purchasing, or using PO Autopilot, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.
If you do not agree to these Terms, do not use the Service.
1. The Service
PO Autopilot is a Shopify application designed to help merchants receive, interpret, match, review, and prepare B2B order requests as Shopify draft orders.
Depending on the features available to your account, order requests may be submitted through methods such as:
- purchase-order files;
- spreadsheets;
- images or scanned documents;
- email attachments;
- order information written in an email body;
- plain-language order descriptions; and
- other supported order-intake methods.
PO Autopilot may help identify Shopify B2B companies and locations, products and variants, buyer-specific SKUs, units of measure, case-pack mappings, pricing differences, inventory conditions, address differences, duplicate purchase orders, and other order information.
The Service may change over time as we improve or modify PO Autopilot.
2. Business use and eligibility
PO Autopilot is intended for businesses and authorized business users.
You must:
- have the legal capacity to enter into these Terms;
- have authority to use the applicable Shopify store;
- have authority to authorize PO Autopilot to access the Shopify data and functionality required for the Service; and
- comply with Shopify’s applicable terms, policies, and requirements.
You are responsible for the activity of users you authorize to access PO Autopilot through your Shopify store or organization.
3. Shopify relationship
PO Autopilot is an independent third-party application for Shopify.
Europa Foundry is not Shopify, and these Terms are between you and Europa Foundry.
Your use of Shopify remains governed by your separate agreements with Shopify.
PO Autopilot depends on Shopify APIs, services, permissions, and platform functionality. Changes to Shopify, loss of required permissions, suspension of your Shopify store, platform outages, or changes to Shopify APIs may affect the Service.
You authorize PO Autopilot to access and modify Shopify data only to the extent reasonably necessary to provide the features you use, including creating Shopify draft orders and storing merchant-approved configuration or mappings.
4. Merchant responsibility for orders
PO Autopilot is an order-entry and review tool. It is not a substitute for merchant judgment.
Documents, emails, spreadsheets, scans, plain-language requests, automated interpretation, product matching, mappings, pricing comparisons, inventory information, and other inputs or outputs can contain errors, omissions, ambiguities, or outdated information.
You are responsible for reviewing order information as appropriate before you:
- send an invoice;
- accept or capture payment;
- convert a draft order into a completed order;
- commit inventory;
- fulfill or ship goods;
- extend credit;
- communicate final pricing or terms to a buyer; or
- otherwise rely on a PO Autopilot output for a business decision.
You remain responsible for your products, prices, inventory, customers, buyers, tax obligations, shipping, fulfillment, contractual commitments, and Shopify store operations.
PO Autopilot is designed to surface information that appears unclear or inconsistent, but we do not guarantee that every error, discrepancy, duplicate, or unusual condition will be detected.
5. Automated and AI-assisted processing
PO Autopilot uses automated systems, including artificial intelligence, to help interpret documents and plain-language order requests.
Automated processing may be incomplete or incorrect.
Shopify data and merchant-approved rules are intended to remain authoritative within PO Autopilot’s workflow, but you are responsible for determining whether an output is suitable for your use.
You must not rely on PO Autopilot as the sole control for preventing financial loss, fraud, contractual errors, compliance violations, or fulfillment mistakes.
6. Your content and data
“Merchant Content” means information, files, messages, order documents, order requests, mappings, instructions, and other content you or your authorized users provide to or make available through the Service.
As between you and Europa Foundry, you retain ownership of your Merchant Content.
You grant Europa Foundry a limited, non-exclusive right to host, copy, transmit, process, modify, and otherwise use Merchant Content only as reasonably necessary to:
- provide and operate the Service;
- perform the actions you request;
- provide support;
- maintain security;
- troubleshoot errors;
- comply with law; and
- exercise our rights under these Terms.
This permission ends when the relevant content is deleted or your relationship with the Service ends, subject to the retention, backup, security, and legal exceptions described in our Privacy Policy.
You represent that you have all rights and permissions necessary to provide Merchant Content to PO Autopilot and to authorize the processing described in these Terms and our Privacy Policy.
7. Privacy and data handling
Our Privacy Policy explains how Europa Foundry processes, stores, retains, and deletes information in connection with the Service.
The Privacy Policy is incorporated into these Terms by reference.
By using PO Autopilot, you acknowledge that the Service uses third-party infrastructure and processing providers as described in the Privacy Policy, including providers used for Shopify integration, cloud hosting, document processing, email, and AI-assisted interpretation.
You are responsible for determining whether your use of PO Autopilot is appropriate for the information you submit and for providing any notices or obtaining any permissions required from your buyers, contacts, employees, or other individuals.
8. Sensitive information
PO Autopilot is designed for ordinary B2B order processing.
Do not intentionally submit information that is unnecessary for that purpose, including:
- payment-card numbers;
- passwords;
- API secrets;
- government identification numbers;
- medical or health information; or
- other highly sensitive personal information unrelated to an ordinary B2B order.
If you submit unnecessary sensitive information, you remain responsible for doing so lawfully.
9. Plans and billing
PO Autopilot may offer free and paid plans with different usage limits.
The current plans, prices, billing periods, included usage, and other commercial terms are those displayed through the Shopify App Store, Shopify’s app-pricing interface, or another Shopify-authorized billing surface when you select or change a plan.
Paid subscriptions are billed through Shopify.
By selecting a paid plan, you authorize Shopify to charge the applicable fees according to the billing option you select.
Monthly and annual billing options may be available. Plan changes, billing cycles, proration, subscription status, and related billing adjustments may be administered by Shopify’s billing systems.
Unless otherwise stated when you select a plan, fees do not include taxes that Shopify or another applicable authority may be required to collect.
Usage limits
Plans may limit the number of successful draft orders that can be created during a billing period or over the life of a free plan.
Unless otherwise stated in the applicable plan:
- an order counts toward your usage limit when PO Autopilot successfully creates the associated Shopify draft order;
- an unsuccessful processing attempt does not count; and
- an order abandoned before draft-order creation does not count.
When you reach a plan limit, we may require you to wait for the applicable usage period to reset or select a plan with additional capacity before creating additional draft orders.
We may correct usage records when reasonably necessary to address technical errors or abuse.
10. Plan changes and cancellation
You may change eligible plans through the billing and plan-management options made available through Shopify and PO Autopilot.
You may stop using PO Autopilot at any time. Uninstalling PO Autopilot or cancelling an applicable subscription may affect access to the Service and may trigger Shopify’s billing and data-deletion processes.
The effective timing of plan changes, cancellations, credits, or prorated amounts may depend on Shopify’s billing system and the billing option involved.
11. Refunds and billing disputes
Except where required by law, fees already charged are not automatically refundable merely because you stop using or uninstall the Service.
If you believe a PO Autopilot charge is incorrect or believe a refund is warranted, contact Europa Foundry at support@europafoundry.com.
Any refund, credit, or billing adjustment we approve will be processed through Shopify-supported billing mechanisms where applicable.
Nothing in this section limits rights that cannot lawfully be waived.
12. Acceptable use
You may not use the Service to:
- violate any law or regulation;
- infringe or misappropriate another person’s intellectual-property, privacy, confidentiality, or other rights;
- submit information you do not have authority to process;
- distribute malware or malicious code;
- interfere with, disrupt, damage, or attempt to gain unauthorized access to the Service or its infrastructure;
- probe, scan, or test vulnerabilities without written authorization;
- bypass or defeat authentication, security controls, usage limits, or billing controls;
- use automated methods to extract data from the Service except through interfaces we expressly provide for that purpose;
- reverse engineer, decompile, or attempt to derive non-public source code except to the extent such restrictions are prohibited by law;
- resell, sublicense, or provide the Service as a standalone service to third parties without our written permission;
- use the Service to train or develop a competing product using non-public aspects of PO Autopilot; or
- use the Service in a way that creates unreasonable security, operational, or legal risk for Europa Foundry, Shopify, our providers, or other users.
We may investigate suspected misuse and may suspend or restrict access when reasonably necessary to protect the Service or others.
13. Email intake
If you use PO Autopilot’s email-intake features, you are responsible for:
- providing the correct intake address to authorized senders;
- ensuring that you are permitted to receive and process the messages and attachments submitted;
- preventing unauthorized use of your order-intake address where reasonably possible; and
- not using the intake service to send spam, malicious content, or unrelated bulk email.
We may filter, reject, quarantine, or delete messages that appear malicious, abusive, unrelated to order processing, or technically unsafe.
14. Intellectual property
Except for Merchant Content and third-party materials, Europa Foundry owns all rights, title, and interest in and to the Service, including:
- PO Autopilot software;
- website and application design;
- source code and object code;
- workflows and interfaces;
- documentation;
- text and graphics;
- trademarks, names, and logos; and
- other materials created by Europa Foundry.
These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business purposes while your right to use the Service remains active.
No intellectual-property rights are transferred to you except for the limited right to use the Service described in these Terms.
15. Feedback
If you voluntarily provide ideas, suggestions, or feedback about PO Autopilot, you grant Europa Foundry a perpetual, worldwide, royalty-free right to use that feedback without restriction or obligation to you.
This does not give us ownership of your Merchant Content or confidential business data.
16. Third-party services
PO Autopilot depends on third-party services, including Shopify and infrastructure, email, cloud-processing, and AI providers.
Those services may be subject to their own terms and policies.
Europa Foundry is not responsible for third-party services that are outside our reasonable control, including:
- Shopify outages or API changes;
- third-party service interruptions;
- changes to third-party features, pricing, or availability; or
- actions taken by a third-party provider under its own agreement with you.
We may replace service providers when reasonably necessary to operate, secure, or improve PO Autopilot.
17. Service availability and changes
We work to provide a reliable Service, but we do not guarantee uninterrupted or error-free availability.
The Service may be unavailable because of:
- maintenance;
- software defects;
- security incidents;
- infrastructure failures;
- Shopify or third-party outages;
- internet failures;
- emergency changes; or
- events outside our reasonable control.
We may add, remove, modify, or discontinue features.
When practical, we will try to provide reasonable notice before a material change that significantly reduces the core functionality of a paid Service.
We may discontinue PO Autopilot entirely. If we do, we will take reasonable steps to provide notice and handle active paid subscriptions through applicable Shopify billing mechanisms.
18. Suspension and termination
We may suspend or terminate access to some or all of the Service if:
- you materially breach these Terms;
- required fees remain unpaid;
- your Shopify access or required permissions are revoked;
- your use creates a security or operational threat;
- we reasonably believe the Service is being used unlawfully or fraudulently;
- continued service would expose Europa Foundry or another party to material legal risk; or
- suspension is reasonably necessary to comply with law or a binding request from Shopify or another service provider.
Where reasonably possible, we will provide notice and an opportunity to address a curable issue before termination.
You may terminate your use by uninstalling PO Autopilot and cancelling any applicable subscription through available Shopify mechanisms.
Termination does not eliminate payment obligations that arose before termination.
Data following termination is handled according to our Privacy Policy and Shopify’s required deletion processes.
19. Confidentiality of merchant information
Europa Foundry treats non-public Merchant Content as confidential business information.
We will not disclose non-public Merchant Content to third parties except:
- to service providers that process it as necessary to provide or secure the Service;
- at your direction;
- as described in our Privacy Policy;
- when reasonably necessary to investigate abuse or security incidents; or
- when required by law.
This obligation does not apply to information that:
- becomes public through no breach by Europa Foundry;
- was lawfully known to us without a duty of confidentiality;
- is independently developed without use of the confidential information; or
- is lawfully received from another source without a duty of confidentiality.
If disclosure is legally required, we will provide notice when legally permitted and reasonably practical.
20. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
EUROPA FOUNDRY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- EVERY DOCUMENT OR ORDER REQUEST WILL BE READ CORRECTLY;
- EVERY BUYER, PRODUCT, SKU, UNIT, ADDRESS, PRICE, OR OTHER FIELD WILL BE MATCHED CORRECTLY;
- EVERY DISCREPANCY, DUPLICATE, INVENTORY CONDITION, OR ERROR WILL BE DETECTED;
- INFORMATION FROM SHOPIFY OR OTHER THIRD PARTIES WILL ALWAYS BE CURRENT OR ACCURATE; OR
- THE SERVICE WILL MEET EVERY PARTICULAR BUSINESS, LEGAL, ACCOUNTING, TAX, SECURITY, OR COMPLIANCE REQUIREMENT.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.
21. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EUROPA FOUNDRY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, EUROPA FOUNDRY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO EUROPA FOUNDRY FOR PO AUTOPILOT DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
- US $100.
These limitations apply regardless of the theory of liability, including contract, tort, negligence, strict liability, or otherwise.
Nothing in these Terms excludes or limits liability to the extent it cannot lawfully be excluded or limited.
22. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Europa Foundry and its owners, employees, contractors, and agents from third-party claims, damages, liabilities, losses, costs, and reasonable legal fees arising from or relating to:
- your Merchant Content;
- your products, buyers, orders, pricing, fulfillment, or business operations;
- your violation of these Terms;
- your violation of applicable law;
- your infringement or violation of another person’s rights; or
- your misuse of the Service.
Your indemnification obligation does not apply to the extent a claim is caused by Europa Foundry’s own unlawful conduct or breach of these Terms.
23. Governing law and venue
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
To the extent a dispute is permitted to be brought in court, you and Europa Foundry agree to the exclusive jurisdiction and venue of the state and federal courts located in or serving Denver County, Colorado, unless applicable law requires otherwise.
24. Changes to these Terms
We may update these Terms from time to time.
When we make material changes, we will update the “Last updated” date and provide additional notice when reasonably appropriate or legally required.
Changes will apply prospectively from their stated effective date.
If you continue using the Service after updated Terms become effective, you agree to the updated Terms.
If you do not agree to a material change, you should stop using the Service and cancel your subscription before the change takes effect.
25. Electronic communications
You agree that we may provide notices and other communications electronically, including through:
- PO Autopilot;
- Shopify Admin;
- the email address associated with your store or support request; or
- the Europa Foundry website.
You are responsible for keeping your Shopify and business contact information current.
26. Assignment
You may not assign or transfer these Terms without Europa Foundry’s prior written consent.
Europa Foundry may assign these Terms in connection with a merger, reorganization, financing, sale of the Service or business, conversion to another business entity, or transfer of substantially all related assets, provided the successor assumes the applicable obligations under these Terms.
27. Force majeure
Europa Foundry is not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, internet or utility failures, cyberattacks, labor disputes, government actions, war, civil unrest, failures of Shopify or other service providers, or widespread cloud-service outages.
28. Severability and waiver
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
A failure by Europa Foundry to enforce a provision of these Terms is not a waiver of our right to enforce it later.
29. Entire agreement
These Terms, together with the Privacy Policy and any additional terms expressly presented when you purchase or use a particular feature, constitute the entire agreement between you and Europa Foundry regarding the Service and supersede prior agreements or representations about the same subject matter.
If there is a conflict between these Terms and specific commercial terms presented through Shopify when you select a plan, the specific Shopify-presented commercial terms control with respect to the applicable price, billing period, or plan limit.
